1. Agreement to Terms

By accessing or using the Prime IT Devices website, submitting a Request for Quote (RFQ), or placing an order, you agree to be bound by these Terms and Conditions. These terms apply to all buyers, procurement professionals, and visitors.

2. Sourcing, Quotes & Pricing

Due to the highly dynamic nature of the enterprise IT hardware market (servers, switches, memory modules, storage arrays):

• Quotes issued by our sales team are valid for 5 business days unless explicitly stated otherwise in writing.
• We reserve the right to cancel orders arising from typographical pricing errors, sudden global supply chain inventory changes, or manufacturer price changes.
• All product conditions (New Sealed, Open Box, Refurbished) will be clearly designated on quotes and invoices.

3. Payment, Invoices & Net Terms

• For purchase orders (POs) and Net-30 credit terms, clients must submit a formal credit application and receive written approval from our finance department.
• Late payments are subject to a 1.5% monthly finance charge on outstanding balances.
• Credit card payments are processed securely. Wire transfers are preferred for orders exceeding $10,000.

4. Shipping, Delivery & Title Transfer

All shipments are sent FOB Origin (Shipping Point) from our partner warehouses. Title and risk of loss transfer to the buyer once the carrier accepts the shipment. Estimated lead times are projections only; we are not liable for transit delays caused by customs, carriers, or weather.

5. Limitation of Liability

Prime IT Devices is a sourcing intermediary. To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue, data loss, system downtime, or business disruption arising from hardware failures or delivery delays. Our total liability for any claim shall not exceed the amount paid for the specific hardware unit in question.

6. Governing Law

These terms and any disputes arising from them are governed by and construed in accordance with the laws of the State of Texas, without regard to conflicts of law principles.
